Terms of Use

These Terms of Use govern your access to and use of the CutOps website, web application, and related services, including subscriptions, account features, cloud-backed functionality, and planning outputs.

Acceptance of these Terms

These Terms of Use govern your access to and use of the CutOps website, web application, and related services, content, communications, and support channels.

By accessing or using CutOps, you agree to these Terms. If you do not agree, do not use the service.

If you use the service on behalf of a company, workshop, factory, employer, or other organization, you represent that you have authority to bind that organization to these Terms, and you includes both you and that organization.

Who the service is for

CutOps is a browser-based cut planning and optimization product designed to support sheet, panel, and similar planning workflows.

It may be used by both:

  • business users, including planners, estimators, operators, fabricators, and internal teams; and
  • individual users, including sole operators, freelancers, hobbyists, and consumers.

Some parts of the service may be available free of charge, while other parts require a paid subscription.

Eligibility and accounts

You may use the service only if you can form a binding agreement under applicable law.

The service may offer:

  • guest or anonymous access for limited use cases;
  • registered user accounts; and
  • paid subscription access tied to an account.

You are responsible for maintaining the security of your account credentials and for activity that occurs under your account, except to the extent caused by our own failure to use reasonable security measures.

You must provide accurate and current account information and keep it reasonably up to date.

The service and local-first or cloud-backed features

CutOps provides optimization and planning tools for cutting workflows, including project inputs, stock and part configuration, optimization settings, comparison tools, layout outputs, cut lists, and export-related functions.

CutOps is designed around a local-first workflow. Many core planning and calculation functions run in your browser, and some project state may be stored locally on your device through browser storage.

At the same time, some features may use backend or cloud systems, including for example:

  • account and profile management;
  • subscription, entitlement, and billing operations;
  • email preference management;
  • support and contact handling; and
  • cloud backup or synchronization features made available to eligible users, including paid users.

We may add, modify, suspend, remove, or limit features at any time. We do not guarantee that every feature will always remain available in the same form.

Your data, content, and responsibility for inputs

You are responsible for the information, files, dimensions, quantities, assumptions, preferences, project names, exports, and other materials you enter into or generate through the service.

You represent and warrant that:

  • you have the necessary rights to use your content;
  • your content does not infringe or violate the rights of others; and
  • you may lawfully store, process, upload, export, and otherwise use your content through the service.

We do not claim ownership of your content. You grant us only the limited rights needed to host, process, transmit, store, back up, and otherwise operate the service for you and as described in our privacy policy.

Acceptable use

You agree not to, and not to allow others to:

  • use the service in violation of law or regulation;
  • access accounts, data, systems, or environments without authorization;
  • interfere with, disrupt, degrade, probe, or overload the service or related infrastructure;
  • upload or transmit malware, malicious code, deceptive content, spam, or harmful automated traffic;
  • scrape, copy, harvest, or extract the service or its data except as allowed by law or expressly permitted by us;
  • use the service to support fraud, abuse, unsafe operations, or unlawful manufacturing or commercial activity; or
  • bypass plan limits, billing controls, security controls, or feature restrictions.

Outputs, planning support, and production responsibility

CutOps provides software-generated planning assistance. Outputs may include layouts, utilization figures, cut lists, comparison suggestions, export files, or other workflow aids.

You remain solely responsible for:

  • verifying dimensions, quantities, grain direction, kerf / saw blade thickness assumptions, material selections, tolerances, and constraints;
  • validating layouts and cut sequences before real-world use;
  • checking shop-floor feasibility, machine suitability, tooling, operator safety, and production readiness; and
  • making final operational, commercial, engineering, and safety decisions.

The service supports planning. It does not replace professional judgment, production review, safety review, or quality control.

Plans, subscriptions, billing, and renewals

CutOps may offer free and paid plans. Paid plans are currently offered as automatically renewing subscriptions, including monthly and yearly options.

By purchasing a paid subscription, you authorize recurring charges for the selected billing period unless you cancel before the next renewal date. The current price, billing interval, and included features will be shown before checkout.

  • Paid plans may unlock additional features or remove usage limits.
  • You may cancel your subscription at any time through your CutOps account or through the payment provider used for the subscription.
  • Cancellation stops future renewals only. You will continue to have access to the paid plan until the end of the billing period that has already been paid for.
  • Paid subscriptions are processed through third-party payment infrastructure, including PayPal, and your payment relationship may also be subject to the provider's terms, policies, approvals, and technical limitations.

Subscription status within CutOps may depend on verified events received from the payment provider, including PayPal webhook confirmation. As a result, approval, cancellation, renewal, payment failure, expiration, or reactivation may not appear within CutOps immediately. Some reactivation attempts may require a new checkout flow instead of restoring a previously canceled subscription.

Subscription fees are charged in advance for each billing period. Except where applicable consumer protection law provides otherwise, fees are generally non-refundable once the billing period begins.

If you are entitled to a refund, cancellation period, or other mandatory rights under applicable law, including consumer protection laws, those rights are not limited by these Terms.

We may provide advance notice before certain automatic renewals, including annual renewals.

You are responsible for any applicable taxes, duties, currency conversion fees, or similar charges unless the law requires us to collect and remit them differently.

We may suspend or limit access to paid features if payment is reversed, disputed, charged back, failed, expired, or otherwise not successfully completed.

Email communications and support

The service may send account-related and transactional emails. Marketing communications can be managed from your profile settings or the unsubscribe page. We may still send emails necessary to operate the service or comply with legal obligations regardless of marketing preferences.

When contacting support, you agree not to submit unlawful, abusive, or deceptive content. We may apply reasonable anti-abuse controls to protect support channels.

Intellectual property

The service, including its software, code, interface, design, text, branding, graphics, documentation, and related materials, is owned by or licensed to CutOps and is protected by intellectual property and other applicable laws.

Except for the limited rights expressly granted in these Terms, no right, title, or interest in the service or its underlying technology is transferred to you.

You may not copy, modify, distribute, sell, lease, sublicense, reverse engineer, or create derivative works from the service except as expressly allowed by applicable law.

Availability, changes, and third-party services

We may change, suspend, or discontinue any part of the service at any time.

The service may rely on third-party providers and infrastructure, including hosting, storage, analytics, identity, email, and payment providers. We are not responsible for outages, delays, policy changes, or failures caused by third-party services beyond our reasonable control.

Unless expressly stated in a separate written agreement, CutOps does not provide a guaranteed service level, uptime commitment, response-time commitment, or enterprise support obligation.

Suspension and termination

We may suspend, limit, or terminate your access to the service if:

  • you violate these Terms;
  • your use creates risk, abuse, legal exposure, or security issues;
  • payment is overdue, reversed, or invalid;
  • we are required to do so by law; or
  • continued operation for a given account, feature, or environment is no longer commercially, legally, or technically practical.

You may stop using the service at any time. Where account deletion tools are made available, you may request deletion through those tools, subject to any limited records we must retain for legal, accounting, security, anti-fraud, or operational purposes.

Guest or anonymous accounts may be cleaned up after periods of inactivity according to product operations.

Disclaimers, limitation of liability, and indemnity

To the maximum extent permitted by law, the service is provided on an “as is” and “as available” basis.

We disclaim all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the service will be uninterrupted, error-free, secure, accurate, complete, or suitable for every workflow. We do not guarantee that outputs will always be correct, manufacturable, optimal, or appropriate for your specific production environment.

To the maximum extent permitted by law, CutOps and its operator will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, savings, goodwill, data, business opportunities, production output, or operational downtime arising out of or relating to the service.

To the maximum extent permitted by law, the aggregate liability of CutOps and its operator for all claims arising out of or relating to the service will not exceed the greater of the amount you paid to CutOps for the service during the 12 months before the event giving rise to the claim, or USD $50.

Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law, including non-waivable consumer protections where they apply.

To the extent permitted by law, you agree to defend, indemnify, and hold harmless CutOps and its operator from and against claims, liabilities, damages, judgments, losses, costs, and expenses arising out of or related to your content, your misuse of the service, your violation of these Terms, or your violation of applicable law or the rights of a third party. This section does not apply to the extent a claim results from our own fraud, willful misconduct, or other liability that cannot be excluded under applicable law.

Separate business agreements, changes, governing law, and contact

If you or your organization enter into a separate written agreement with CutOps covering topics such as enterprise use, commercial commitments, support terms, custom pricing, data handling, or negotiated liability terms, that separate written agreement will control to the extent of any conflict with these Terms.

We may update these Terms from time to time. If we make material changes, we will update the last updated date and provide at least 14 days' notice before the changes take effect, either by posting a notice on the site or by sending an email to your registered address where applicable. Continuing to use the service after updated Terms take effect means you agree to the revised Terms.

These Terms are governed by the laws of the State of Israel, excluding its conflict-of-law principles, unless mandatory consumer law in your jurisdiction requires otherwise. Any dispute that cannot be resolved informally will be brought in the competent courts of Israel, unless applicable law requires a different forum.

If you use the service as a consumer, nothing in this section limits any mandatory forum, venue, or statutory rights available to you under applicable consumer protection law.
